Is swapping shares legally allowed in India?
Yes — completely. Off-market share transfers between demat account holders are fully legal and regulated by NSDL and CDSL. The HDFC–HDFC Bank merger (India's largest ever deal) was executed as a share swap. We've built the same mechanism for retail investors.
What is a DIS slip and do I need to fill it myself?
A Delivery Instruction Slip is the document that authorises a share transfer between demat accounts. On YR Exchange, we auto-fill it entirely using the verified details you've provided. You just review and sign — nothing manual.
What if the other party backs out after we agree?
Once both parties accept a swap, a commitment deposit is held. Backing out after signing means forfeiting the deposit. Every agreement is also timestamped and legally binding — so there's a clear paper trail if things go wrong.
Do I pay tax on a share swap?
Yes — capital gains tax applies to share swaps, calculated on the Fair Market Value of shares received. The transaction must be done at FMV as per Indian income tax rules. We provide a CA valuation option to ensure full compliance.
Which shares can I swap on YR Exchange?
Currently, YR Exchange focuses on unlisted shares — pre-IPO companies, startup equity, ESOP shares, and private company holdings. Listed share swaps will be introduced in a later phase after full regulatory clearance.
How is my data and my shares kept safe?
Your shares never leave the official NSDL/CDSL depository system — we never hold or custody shares. KYC data is encrypted at rest. Agreements are stored permanently in our database. Your demat details are only shared with the counterparty and the licensed DP broker executing the transfer.
